General Terms and Conditions (GTC)
Last updated: 28.10.2026 · Version 2.6
This English version is provided for information only. Only the German version is legally binding.
§ 1 Scope, provider
(1) These GTC apply to all contracts for the product Redefix concluded via
the online shop at redefix.app: the purchase of licenses, upgrades and
feature updates as well as the free trial period. They also contain the
license terms of the software (§ 8).
(2) The provider and contracting party is Martel Innovation, owner Viktor Martel, Kreisental 11, 74925 Epfenbach, Germany (hereinafter "provider" or "we").
(3) Our offer is directed at consumers (§ 13 BGB, German Civil Code) and traders (§ 14 BGB). A consumer is any natural person who enters into a legal transaction for purposes that predominantly fall outside their trade, business or profession. A trader is anyone who, when concluding the contract, acts in the exercise of their trade, business or profession.
(4) We currently conclude contracts only with customers who provide an address in Germany. Sentence 1 does not apply to the transfer of a license already acquired (§ 8 (2) and (3)): a new holder with an address in the EU or the EEA may also take it over. Purchases in the shop, including upgrades and feature updates, remain restricted to addresses in Germany.
§ 2 Subject matter of the contract, trial period
(1) Redefix is software for Windows for speech and dictation processing that runs locally on the customer's device.
(2) The subject matter of the purchase contract is the grant of a right of use (license) to the edition chosen (Basis or Pro). The license is assigned to the customer's customer account and is activated by a license file signed by the provider and bound to one computer (§ 7).
(3) A permanently free edition is not offered. To get to know the software, we provide a trial period of 14 days. It requires a customer account with a confirmed email address and is activated by a time-limited license file (§ 7). When registering, the customer accepts these GTC by ticking a checkbox; they therefore also apply to the trial period. The 14 days begin with activation on the respective computer; only one trial period is possible per computer. The trial period offers the full range of functions, ends automatically after 14 days, requires no cancellation and is free of charge.
(4) The acquisition of the license must be distinguished from the technical provision of the installer: the installer is available for download in the customer account; before each download the customer accepts these GTC. Activation takes place exclusively by means of a license file in accordance with § 7. Without a valid license file the software cannot be used, not even during the trial period.
§ 3 Conclusion of contract, contract language, contract text, customer account
(1) The presentation of the products in the shop does not constitute a binding offer but an invitation to place an order.
(2) The customer needs a customer account to make a purchase. When registering, the customer accepts these GTC by ticking a checkbox (§ 2 (3)). The billing name and billing address are the details from the customer account.
(3) Ordering process: In the shop or in the customer account, the customer selects the product, ticks the two checkboxes for these GTC (including the license terms of the software, § 8) and for immediate provision (§ 10), and clicks the product's purchase button (e.g. "Buy Basis", "Buy Pro" or "Upgrade to Pro"). The customer is then redirected to the payment page of the payment service provider Stripe. There the customer sees the product and price once more, chooses the payment method and enters the payment details. By clicking the payment button on this payment page, the customer submits a binding offer.
(4) Input errors: Until clicking the payment button, the customer can check and correct the entries on the payment page. Using the back link on the payment page or closing the page cancels the process without an order. If the name or address in the customer account is incorrect, the customer cancels and has it corrected via support@redefix.app.
(5) The contract is concluded as soon as payment on the payment page has been completed successfully. We confirm the contract without undue delay by email (purchase confirmation with license number, invoice, confirmation of the declaration under § 10 and the full text of these GTC and of the withdrawal policy including the model withdrawal form). The license is activated as soon as this email has been sent.
(6) The contract language is German. English pages of the shop are for information only; the German text of these GTC is authoritative.
(7) Contract text: For each order we store the product, price, time, the
wording of the two declarations and the version of these GTC. The customer can
see orders and invoices in the customer account. The customer can access, save
and print the GTC at any time at redefix.app/agb; the purchase confirmation
contains the version that applies to the purchase.
(8) Deletion of the customer account: The customer can delete the customer account in the customer account; the customer confirms the deletion with the password. Deletion is only possible after the withdrawal period of 14 days following the last purchase (license, upgrade or feature update) has expired, so that a withdrawal can be processed; the customer account shows the day from which deletion is possible. Deletion is not possible while a payment process is in progress. Name, email address, password and sessions are deleted or made unrecognizable. Purchased licenses remain valid on the computers already activated; the license record remains without any reference to the customer's person. Without a customer account, transferring a license (§ 8 (3)), activating further computers (§ 7) and purchasing upgrades and feature updates (§ 6 (4) and (5)) are no longer possible. We retain invoice and order data for 8 years from the end of the calendar year of the invoice due to statutory retention obligations (§ 147 AO, German Fiscal Code; § 14b UStG, German VAT Act) and block them for other purposes. We detach computer codes from the trial period from the customer account and delete them after 24 months without use. On deletion, we also make the details of the customer record held by the payment service provider Stripe (name, email address, address) unrecognizable; invoices already issued remain unchanged due to the retention obligation. We confirm the deletion by email. Details are set out in the privacy policy.
§ 4 Prices, VAT
(1) The prices shown in the shop at the time of the order apply.
(2) All prices are final prices including statutory VAT (standard taxation). VAT is shown on the invoice. Tax is calculated via Stripe Tax. There are no shipping costs.
(3) Current editions and prices:
- Redefix Basis – €49
- Redefix Pro – €99
- Upgrade Basis → Pro (per license) – difference of €50
- Feature update (optional, per feature update and license, see § 6 (4)) – €19
§ 5 Payment, invoice
(1) Payment is due immediately upon conclusion of the contract. It is made via Stripe's payment page. Credit and debit card, PayPal, Link, Amazon Pay and Klarna are offered; the payment page shows which of these are available in the individual case. For PayPal, Amazon Pay and Klarna, the terms of these payment services also apply.
(2) An invoice with a consecutive invoice number is issued for each purchase (Stripe Invoicing) and provided to the customer by email and in the account.
§ 6 Right of use (license)
(1) The customer receives a simple, non-exclusive right, unlimited in time, to use the acquired edition of Redefix as intended. The license is assigned to the customer account; the license files may not be passed on to third parties or made publicly accessible. The transfer of the license as a whole is governed by § 8 (2) and (3).
(2) A license applies to one natural person (user) and entitles them to use the software on no more than two activated computers (§ 7) that the user personally uses (e.g. workstation and notebook). A license may not be used by several persons, whether simultaneously or alternately; every person who uses Redefix needs their own license. If the customer is a trader, the customer assigns each license to one employee or agent as its user. Changing the user is permitted if the previous user permanently stops using Redefix (e.g. on leaving the company); passing it on to other companies remains prohibited. The transfer of the license as a whole under § 8 (2) remains unaffected. The customer may acquire several licenses. Each purchase is a separate contract with its own license number and its own invoice. Up to ten purchased licenses are possible per customer account; for more, the customer contacts support@redefix.app.
(3) The scope of functions depends on the edition acquired, as described in the shop. Included specialist libraries (e.g. legal or medical specialist word lists) are part of the Pro edition; the customer can create their own word lists in every edition.
(4) Updates: The purchase price includes program updates for 12 months from the date of purchase (update year). This also includes feature updates (new functions and extensions) released within the update year; they remain available for download for this license permanently. Feature updates released after the end of the update year can be purchased optionally and individually (§ 4 (3)); this does not create a subscription. Feature updates apply per license: whether a feature update is included in the purchase price depends on the update year of the respective license. A feature update purchased individually belongs to the license for which the customer buys it; if the customer has several licenses, the customer chooses the license when purchasing. After the end of the update year, the last version provided remains usable permanently; the license does not lose its validity. In addition, we provide security-relevant fixes free of charge on a permanent basis for as long as the edition is supported. The statutory obligation to provide updates (§ 327f BGB) remains unaffected. If a license is transferred under § 8 (2), the remaining term of its update year passes to the new holder; the update year does not start again. Feature updates that the previous holder acquired for this license pass with it. Feature updates of the previous holder's other licenses remain with those licenses.
(5) Upgrade: A license can be changed from Basis to Pro on payment of the difference; if the customer has several licenses, the customer chooses the license. The license number remains the same; license files of the higher edition are issued for the computers already registered. Computers with an internet connection receive them at the next license check (§ 7 (2)), at the latest after 30 days, or immediately via "Lizenz jetzt abgleichen" (check license now). For computers without an internet connection or without automatic license check, the customer generates them again in the customer account using the computer code (§ 7 (5)). With the upgrade, the update year of this license starts again in accordance with paragraph 4. This also applies if the new holder of a transferred license upgrades it to Pro.
(6) Refund: If the purchase price of a license is refunded in full (for example after a withdrawal), the right to use this license ends. We block the license. The customer stops using this license on all computers and deletes its license files. If an upgrade is refunded in full, the license is again treated as Basis.
§ 7 Activation and change of computer
(1) Each computer must be activated once. With an internet connection, this is done in the software ("Redefix aktivieren", activate Redefix): the customer enters the email address of the customer account and confirms it with the 6-digit code we send by email; no password is entered in the software. The data transmitted are the email address, the code, the computer code and a name for the computer that the customer can freely choose in the activation dialog (pre-filled with "Mein Rechner" (my computer), may be left empty). The computer code is calculated from characteristics of the computer and is non-reversible. Dictation content, audio data and file names are not transmitted. Details are set out in the privacy policy.
(2) The customer then receives a digitally signed license file for exactly this computer. The software checks it at every start without an internet connection; a permanent connection to the provider is not required for operation. License check: If there is an internet connection, the software checks the license with the provider at intervals: for a purchased license at most every 30 days and at the customer's request ("Lizenz jetzt abgleichen"), during the trial period at most once per calendar day. In doing so, it transmits the license file and the computer code to us and, where applicable, receives an updated license file (e.g. after a purchase or upgrade) or the notification that the computer is no longer activated. Without an internet connection no license check takes place; the license file of a purchased license remains effective. No further data is transmitted during the license check. If the customer does not want an automatic license check, the customer can activate the computer via the customer account in accordance with paragraph 5; no automatic license check then takes place for this computer.
(3) If the customer has several licenses, we assign the computer to a license with a free slot. If the maximum number under § 6 (2) has been reached for all licenses, we refuse activation and state which computers are occupied.
(4) Change of computer: For a change of computer, the customer contacts support@redefix.app; we release the slot that is no longer used. This is free of charge. With the release, use on this computer ends; the customer deletes the license file there. If the released computer still performs license checks, its license file loses its effect at the next license check.
(5) If no internet connection is available on the customer's computer or if the
customer does not want an automatic license check (paragraph 2), activation
takes place via the customer account: the software displays the computer code;
the customer logs in to the customer account at redefix.app, if necessary on
another device, enters the computer code there, downloads the license file,
transfers it to the computer if necessary (e.g. by USB stick) and loads it into
the software. This activation is equivalent to activation with an internet
connection; the computer transmits no data in the process. This also applies
to the trial period; the software checks its time limit on the computer. A
trial license file does not switch off the automatic license check: if there
is an internet connection, the software checks it in accordance with
paragraph 2.
§ 8 License terms of the software
(1) Scope: These license terms apply to all editions including the trial period. They supplement § 6 (right of use) and § 7 (activation). No other license terms of the provider apply; paragraph 6 applies to open-source components.
(2) Passing on: The customer may pass on an acquired license as a whole to a third party (§ 69c no. 3 sentence 2 UrhG, German Copyright Act); this also applies to resale through dealers. Splitting is excluded: the license passes only together with both computer slots. The previous holder removes all of their own copies of the software. Otherwise, the customer may not sublicense, rent out or lend the software.
(3) Re-registration to the new holder: So that the new holder can use the license, we assign it to the new holder's customer account. For this purpose, the previous or the new holder sends to support@redefix.app:
- the invoice or the license number,
- the name and email address of the new holder,
- a declaration by the previous holder that all copies of the software have been deleted.
The notification serves only the technical implementation. The effectiveness of the transfer depends neither on it nor on our consent. We assign the license within 5 working days of receipt of the complete documents. The previous holder stops using the software on their computers and deletes the license files; with the assignment we release their computer slots. We charge no fee for the transfer. These GTC apply to the new holder.
(4) Reverse engineering and license protection: The customer may not reverse engineer, decompile or disassemble the software or circumvent the license protection, unless mandatory law (in particular §§ 69d, 69e UrhG) or the license of an included open-source component permits this.
(5) Backup copy: The customer may make copies of the software for backup purposes.
(6) Open-source components: The software contains open-source components of third parties. Their licenses and copyright notices are supplied with the software (file "THIRD_PARTY_NOTICES.txt"; the full text of the GNU Lesser General Public License, version 2.1, as "LGPL-2.1.txt"). Their own license terms take precedence for these components. Where such a license grants more extensive rights, these take precedence over the restrictions of these GTC. This applies in particular to the right to replace the libraries "num2words" and "pystray", which are licensed under the LGPL, with one's own versions.
(7) Specialist libraries: The customer may use included specialist libraries (§ 6 (3)) in the software within the scope of the license. To the extent permitted by law, reproduction, distribution or publication outside the software is not permitted. The customer's own word lists are not affected.
(8) Changes to the software: Beyond what is necessary to maintain conformity with the contract, we change the software only for one of the following reasons: adaptation to a changed technical environment (e.g. a new version of Windows), closing security gaps, implementing legal or regulatory requirements, fixing errors or replacing a component that is no longer available with an equivalent one. Such changes are free of charge for the customer; we inform the customer clearly about them. Functions of the edition acquired are not removed as a result; any removal is governed solely by paragraph 9. If a change impairs a consumer's use more than insignificantly, we inform the consumer by email in good time beforehand about the features and timing of the change and about the right to terminate the contract free of charge under § 327r BGB. The customer's statutory rights remain unaffected.
(9) Removal of functions: We may restrict or discontinue a function only if an event makes it impossible or legally inadmissible that occurs after conclusion of the contract, was not foreseeable for us and does not fall within our area of responsibility, for example a statutory or regulatory prohibition or force majeure. We first try to maintain the function by means of a replacement or an update. If this is not possible, we inform the customer at least 4 weeks in advance, where reasonable; in the case of a regulatory prohibition or force majeure, without undue delay. If a function is removed permanently, we refund the part of the price paid that corresponds to the share of this function in the total value according to the product description at the time of purchase, up to the full purchase price. If the entire software is discontinued, we refund the full purchase price. The customer's statutory rights remain unaffected and may go further, for consumers for example termination of the contract and price reduction (§§ 327i, 327m BGB). Liability is governed by § 12.
(10) Breaches: If the customer materially breaches § 6 or this § 8, for example by continuing to use a license that has been passed on or by letting several persons use one license, we first issue a warning and set a period of 14 days to remedy the breach. A warning is dispensable only in the cases of § 314 (2) sentence 2 in conjunction with § 323 (2) BGB, for example if the customer seriously and definitively refuses to remedy the breach. We then take the mildest measure that is sufficient: first we block the affected license file or the affected computer, and only if that is not sufficient, the entire license. If the right of use ends, the customer stops using the software and removes the installed copies. Statutory rights remain unaffected.
§ 9 Provision
(1) The installer is provided as a download. The license is assigned to the customer account without undue delay after receipt of payment; the purchase confirmation by email states the license number. A license file is issued per computer in accordance with § 7.
(2) The system requirements can be found in the product description (Windows).
§ 10 Right of withdrawal
(1) Consumers have a right of withdrawal in accordance with the separate withdrawal policy (page "Withdrawal"). It applies to each purchase separately: license, upgrade and feature update.
(2) In the case of digital content not supplied on a tangible medium, the right of withdrawal expires as soon as we have begun performance of the contract, if the customer has expressly consented to our beginning before the end of the withdrawal period, has acknowledged that the right of withdrawal is thereby lost, and we have confirmed the contract including this declaration to the customer on a durable medium (§ 356 (6) no. 2 BGB). The customer makes the declaration when purchasing by ticking a separate checkbox; the purchase confirmation by email reproduces its wording and time.
(3) Traders have no statutory right of withdrawal.
§ 11 Defects / warranty for digital products
(1) The statutory provisions (§§ 327 et seq. BGB) apply to the provision of digital products, in relation to consumers in particular the rules on updates and conformity of digital products with the contract.
(2) In relation to traders, the statutory warranty periods apply.
(3) Note: Speech recognition and machine text processing are by nature not free of errors. The customer should check important results before using them. This note is not an agreement on the quality of the software; the statutory requirements for it (§ 327e BGB) and the customer's rights remain unaffected.
§ 12 Liability
(1) We are liable without limitation for intent and gross negligence, for injury to life, body and health, for fraudulently concealed defects and to the extent that we have assumed a guarantee.
(2) In the case of simple negligence, we are liable only for the breach of an essential contractual obligation (cardinal obligation) and limited to the foreseeable damage typical for the contract. Essential contractual obligations are obligations whose fulfillment makes the proper performance of the contract possible in the first place and on whose observance the customer may regularly rely.
(3) Otherwise, liability is excluded. Liability under the German Product Liability Act (Produkthaftungsgesetz) remains unaffected.
§ 13 Final provisions
(1) The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods. Mandatory consumer protection provisions of the state in which the consumer has their habitual residence remain unaffected.
(2) If the customer is a merchant, a legal entity under public law or a special fund under public law, the place of jurisdiction is Heidelberg (§ 38 (1) ZPO, German Code of Civil Procedure). This agreement does not apply to consumers; the statutory places of jurisdiction apply to them.
(3) Changes to these GTC apply to an existing contract only if the customer agrees to them. This does not apply to changes to the software under § 8 (8) and (9); these are governed by those paragraphs.
(4) We are neither willing nor obliged to participate in dispute resolution proceedings before a consumer arbitration board.
(5) Should any provision be invalid, the validity of the remaining provisions remains unaffected.
